These terms govern access to the DocMeThis website, use of DocMeThis Fix, and the Audit and Build services offered by DocMeThis SAS. DocMeThis commercial offers are exclusively reserved for professionals.

1. Purpose and acceptance
Publisher
DocMeThis SAS, a French simplified joint-stock company with share capital of €10,000, registered with the Clermont-Ferrand Trade and Companies Register under number 107 634 602, with registered office at 1 Allée du Terroir, 63100 Clermont-Ferrand, France, provides software documentation tools and services. Full details are available in the legal notice.
Customer definition
For purposes of these terms, the "Customer" means any individual acting for professional purposes or any legal entity or organization subscribing to the Services. Where an individual subscribes in the name and on behalf of a legal entity or organization, that individual represents that it has the authority to bind it.
Acceptance
Ordering a commercial service or starting a trial constitutes acceptance of these terms. Standalone use of DocMeThis Check is governed by its open-source license, including the MIT license, and does not constitute acceptance of these commercial terms. An accepted quote, order, or specific condition may supplement or replace these terms for the relevant scope; in case of conflict, the quote or specific condition prevails.
2. Services
DocMeThis Check
DocMeThis Check is an open-source static tool for detecting documentation debt and drift between signatures and docstrings. It is provided free of charge under its applicable license, including the MIT license published with the project.
DocMeThis Fix
DocMeThis Fix automates the generation or correction of Python docstrings in a CI workflow. It operates with the language model selected and configured by the customer; token usage and any model-provider subscription are not included in DocMeThis Fix prices. The environments, limits, and included credits are those shown for the selected plan or quote.
Audit and Build
Audit consists of static analysis and a documentation report. Build, when offered, consists of a documentation pack defined by quote and may include docstrings, API reference, a README, a user manual, tutorials or notebooks, a multilingual version, a traceability report, or a retrieval-augmented documentation base.
Service changes
Enterprise services, custom integrations, support, and CI environments not included in a standard plan are defined by quote. DocMeThis may evolve the services without reducing services already ordered for the relevant period.
3. Professional customers, accounts, and obligations
Professional Customer
DocMeThis commercial offers are exclusively reserved for professionals. By subscribing, the Customer represents that it is acting for purposes within its professional activity. Consumers acting for personal purposes are not eligible for the commercial Services. DocMeThis may refuse an order if professional status cannot be established.
Account and security
The customer must provide accurate information and keep its accounts, tokens, API keys, and other credentials confidential. The customer chooses the permissions granted to the tools, maintains appropriate backups, and reviews generated changes and documents before merging, publishing, or deploying them.
Rights and use
The customer must have the necessary rights to repositories, files, data, and content submitted to or processed by the services. The customer must not use the services unlawfully, circumvent quotas, abuse trials, or compromise the security or operation of the services.
4. Free trial and abuse prevention
No-commitment trial
The DocMeThis Fix trial is a no-commitment trial offer providing a free credit quota. It does not automatically convert into a paid subscription: any paid subscription must be separately confirmed by the customer.
One-trial limit
The same customer, company, organization, or workspace may use the trial only once, unless DocMeThis gives written approval. Disposable email addresses or aliases, successive accounts, and any other method intended to circumvent this limit or the quotas constitute abuse.
Anti-abuse checks and measures
DocMeThis may perform reasonable and proportionate checks using information lawfully available to it, including account, domain, organization, payment information when provided, and usage signals necessary to prevent fraud. In this context, DocMeThis may refuse, limit, suspend, or withdraw a trial, revoke associated credits, prevent new account creation, or suspend the relevant account. Paid accounts may be suspended immediately in cases of fraud, circumvention, security risk, or serious breach, without prejudice to DocMeThis's other rights.
Domain and IP-range blocking
DocMeThis may also block domains or IP address ranges associated with abuse or an attempt to circumvent these limits.
5. Prices, orders, billing, and late payment
Prices and taxes
Prices are exclusive of taxes, unless expressly stated otherwise. Any applicable taxes are calculated according to the Customer's status and place of establishment and are shown at checkout.
Applicable price
Services are billed according to the prices in effect when the subscription or order is placed, as displayed on the Site or, where applicable, stated in the quote accepted by the Customer.
Information before ordering
The applicable price is made known to the Customer before the order is confirmed. The order confirmation or invoice specifies the contractually applicable price.
Services priced by quote
Where the price cannot be determined exactly in advance, it is established according to the quote provided to the Customer. The quote then specifies the scope of the service, its price, or the applicable calculation method.
Price changes
DocMeThis may change its prices for the future. Until the relevant due date, the price applicable to an ongoing subscription remains unchanged. Any price change takes effect from a later due date after the Customer has been informed before it becomes effective; the new price then applies at the next renewal, unless the Customer cancels before that date under Article 6.
Billing
Chargebee manages subscriptions and billing. Depending on the selected payment method, payment may be processed by Stripe or PayPal. The Customer also accepts the terms applicable to the operations performed by those providers. Invoices are issued using the information supplied by the Customer.
Payment and early-payment discount
Amounts due for subscriptions are payable on order and on each renewal, unless specific quote terms provide otherwise. No discount is granted for early payment.
Late payment
In case of late payment, penalties are due automatically, without prior reminder, from the day following the due date, at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points. The professional Customer also owes an automatic fixed €40 recovery fee, without prejudice to additional compensation where the recovery costs actually incurred are higher, upon justification.
6. Subscriptions, credits, and cancellation
Subscriptions and cancellation
Monthly and annual subscriptions renew for a period of the same length until canceled. The customer may cancel before the next renewal date through the management area provided by Chargebee. Cancellation takes effect at the end of the period already paid and does not result in a pro-rata refund, unless mandatory law or an agreement with DocMeThis provides otherwise. The price applicable to each renewal is the price communicated under Article 5.
Credits and usage calculation
DocMeThis Fix credits are allocated and renewed according to the selected plan. As a reference, one symbol to document counts as 3 credits and one documentation element counts as 1 credit. The method used to calculate credit usage, including the number of credits assigned to a symbol or documentation element, may change. Any change applicable to an ongoing subscription will be communicated to the Customer and take effect for the future under Article 5. Additional credits, when available, may be purchased at the prices displayed at the time of order and remain valid for 12 months; they are consumed after monthly credits. Credits are not currency, refundable credit, or a transferable right.
Quotas and operation
DocMeThis Fix quotas are controlled by the Gateway. A request exceeding the hard cap is rejected; a request with no available credit is rejected with a quota-exhausted status. Reservations released by a failed or incomplete execution are returned according to the service's operation. Exhausting the DocMeThis Fix quota does not prevent DocMeThis Check from continuing to run.
7. Open-source offer
DocMeThis Check license
DocMeThis Check is distributed under the MIT license and remains subject to that license, including when used with other DocMeThis services. Installation, configuration, and operation in the customer's CI environment are the customer's responsibility unless a specific service is ordered.
Eligibility requirements
The Open Source offer is reserved for publicly accessible source-code repositories whose code covered by the Services is distributed under a license approved by the Open Source Initiative (OSI). Eligibility may be checked automatically or manually by DocMeThis.
Free monthly quota
The Open Source offer takes the form of a free monthly credit quota, whose amount, renewal period, and scope are those stated by DocMeThis. This quota is not a monetary budget, an unlimited credit balance, or a receivable owed to the Customer.
Maintaining eligibility
The Customer must maintain these conditions throughout use of the offer. If a change makes the repository ineligible, including making it private or changing its license, DocMeThis may end the benefit of the Open Source offer. DocMeThis may exceptionally recognize a repository with equivalent licensing conditions as eligible.
Checks and sanctions
DocMeThis may suspend or refuse the offer in case of misrepresentation, misuse, or circumvention of the eligibility conditions.
8. Audit, Build, and Audit refund
Audit
Audit is priced according to the agreed volume and scope. Where its price cannot be determined in advance, the quote specifies the scope, price, or applicable calculation method. Open-source projects may qualify for a free Audit within the published scope and conditions.
Refund
If the overall score awarded by DocMeThis after a paid Audit is strictly above 95/100, the Audit price is refunded. The quote may specify the calculation scope, practical process, and timing of that refund.
Build and custom services
The scope, deliverables, schedule, and price of Build or any custom service are those in the accepted quote. Additional requests or scope changes may be covered by an additional quote.
9. Third-party providers, data, and language models
DocMeThis Check and DocMeThis Fix processing
DocMeThis Check and DocMeThis Fix perform their analysis in the customer's local or CI environment and do not send source code to DocMeThis. DocMeThis Fix may nevertheless send the prompts and context required for execution to the language-model provider selected by the Customer, depending on the chosen configuration. The Customer must review the provider's terms, confidentiality commitments, and retention rules.
Gateway and third-party services
The Gateway is used only by DocMeThis Fix to receive the technical information required for authentication and credit tracking, including an opaque identifier; it is not used by DocMeThis Check and is not intended to receive the Customer's source code, file manifests, or prompts. Third-party services remain subject to their own terms and privacy policies.
Payment and personal data
Chargebee, Stripe, and PayPal may process data required for checkout, payments, and subscriptions. Information about personal data and providers is available in the legal notice.
10. Confidentiality
Confidential information
DocMeThis treats as confidential the source code, architecture, and non-public technical, commercial, and organizational information disclosed in connection with an Audit, Build, or other commercial service.
Use and access
This information is used only to perform the ordered service. DocMeThis limits access to people and providers who need it for that purpose and takes reasonable measures to preserve its confidentiality. This obligation does not apply to information that is public, already known to DocMeThis, independently developed, or lawfully received from a third party, or to disclosures required by law or a competent authority.
Duration and exceptions
The confidentiality obligation survives termination for as long as the relevant information has not become public other than through a breach of these terms. The terms of the language-model provider selected by the Customer apply to information the Customer directly asks that provider to process.
11. Intellectual property
Customer materials
The customer retains its rights in its repositories, code, data, and other materials it submits. The customer authorizes DocMeThis and the necessary providers to process those materials only to perform the ordered service.
DocMeThis materials
DocMeThis retains its rights in the website, software, methods, templates, know-how, interfaces, and generic materials. DocMeThis Check is subject to its open-source license; other components and services remain subject to their applicable rights and licenses.
DocMeThis Fix results
DocMeThis claims no intellectual property rights in modifications or content generated by DocMeThis Fix for the Customer. Subject to third-party rights and the applicable terms of the language-model provider selected by the Customer, the Customer may use, modify, reproduce, and distribute those results.
Quoted deliverables
For an Audit, Build, or custom service, the accepted quote specifies the use rights, license, or assignment granted over deliverables after full payment. No broader, exclusive, or transferable right is implied solely by payment or delivery of a deliverable.
12. Availability, results, and support
Best-efforts obligation
The services are provided on a best-efforts basis. Analyses and generated text may be incomplete, inaccurate, or require adaptation; they do not replace code review, security validation, or editorial or business judgment. The customer remains solely responsible for accepting and using generated changes and documents.
Availability and service levels
DocMeThis does not guarantee continuous availability, error-free operation, or compatibility with every environment. Maintenance, third-party provider changes, or security constraints may temporarily interrupt or limit a service. No specific service level is promised unless expressly stated in an Enterprise quote or specific condition.
13. Suspension and termination
Suspension grounds
DocMeThis may suspend or limit a service in case of non-payment, security risk, unlawful use, fraud, quota circumvention, or breach of these terms. Where circumstances allow, DocMeThis will inform the customer and allow it to remedy the breach.
Termination
In case of a serious or uncured breach, DocMeThis may terminate the relevant service. Access to services and credits may end on the effective termination date, subject to the rights provided by the quote, these terms, or applicable law. Obligations that by their nature should survive termination remain in effect.
14. Force majeure
Principle
Neither party is liable for a failure or delay caused by a force-majeure event within the meaning of Article 1218 of the French Civil Code, beyond its reasonable control and preventing performance of its obligation.
Covered events
This may include outages or unavailability affecting GitHub, GitLab, a language-model provider, a host, a payment provider, or a network, as well as cyberattacks, power failures, natural disasters, industrial action, administrative decisions, or regulatory changes. The affected party will inform the other party where reasonably possible and take appropriate steps to limit the effects of the event.
15. Liability
Customer responsibility
The customer is responsible for its access, backups, instructions, data, and validation of results. DocMeThis is not liable for damage resulting from misconfiguration, failure to maintain backups, a third-party provider, customer-provided content, or use of an unchecked result.
Limitation of liability
To the extent permitted by law, DocMeThis's total liability for a service is limited to the amounts actually paid for that service during the twelve months preceding the event giving rise to the claim. DocMeThis is not liable for indirect loss, loss of profit, loss of opportunity, or loss of data that was not backed up. This limitation does not apply where the law prohibits limiting or excluding liability.
16. Governing law and disputes
Governing law
These terms are governed by French law. Applicable international jurisdiction rules and mandatory rules remain reserved.
Jurisdiction
When all parties have contracted as merchants, any dispute relating to the validity, interpretation, performance, or termination of the contract shall fall within the jurisdiction of the competent courts of Clermont-Ferrand, including in case of multiple defendants or third-party claims. In all other cases, the applicable jurisdiction rules shall apply.

These terms may be updated to reflect changes to the services or regulations; the applicable version is the version accepted at the time of order or, for an ongoing subscription, the version communicated before its next renewal period.
Languages
These terms are available in French and English. In case of discrepancy, the French version prevails for contracts governed by French law, unless the accepted quote states otherwise.
